Statute of the Renewable Energy Development Organization (REDO)

Introduction

REDO is a non-governmental and non-profit renewable energy organization aims at promoting the use of available clean sources of the global renewable energy. The Renewable Energy Development Organization (REDO) was officially established in New York on early 2010. Four regional offices based in:

  1. – USA.
  2. – Spain (Europe).
  3. – Kuwait.
  4. – Qatar.
  5. Saudi Arabia
  6. Bahrain
  7. Oman

The main principle of REDO will be to create alternative renewable energy sources to eliminate the current exhaustion of our environment due to the increasing use of the different kinds of fuel which caused the climate change on earth and led to the energy crisis because of the high of fuel.

 

 

Mission Statement

REDO aims to have a prominent and effective role in the global battle against the environmental challenges posed by the human activities because of the development of civilization through the implementation of experimental projects designed to educate, promote and expand the use of renewable energies around the world.

 

Vision

REDO’s vision is to build long-term partnerships with different governmental and non-governmental agencies and organizations and the United Nations in order to bring sustainability to communities while creating a better and cleaner world.

Art. 1. Name

  1. The Renewable Energy Development Organization is a non-governmental organization established by self-efforts representing the members of the organization and any volunteering bodies.
  2. In international contexts, Renewable Energy Development Organization shall be known as “REDO”.
  3. REDO commits to respect the dominant rights and specializations of all members during the execution of all its activities.

 

 

Art. 2. Definition

The concept of “renewable energy” included in this constitution refers to all forms of energy generated from the renewable sources in a permanent way, including:

  1. Bio-energy
  2. Solar energy
  3. Ocean energy, including ebb and flow, waves, thermal energy and others.
  4. Geometrical energy
  5. Wind energy
  6. Hydropower

 

 

Art. 3. Objectives

  1. 1. The organization shall work on supporting the extensive use of all kinds of the renewable energy, taking into consideration to:

 

  1. Achieve a significant increase in the use of renewable energy to face the problem of the climate change and focus on the services of the reliable energy services.

 

  1. Increase the contribution of renewable energy to environmental preservation through reducing pressure on natural resources.

  1. Encourage the international collaboration to speed up the market growth of modern renewable energy and energy efficiency systems, trying to assist in removing any obstacles against the use of the renewable energy by reducing its costs and make it affordable for all.

 

 

  1. 2. REDO shall achieve its objectives by:

 

(a)    Holding symposiums and taking part in all international conferences of renewable energy.

 

(b)   Activating all means of the public relations to promote “REDO” and to make the organization a prominent one among the international bodies working in the same field.

 

(c)    Increasing the awareness programs of the organization activities and coordinating with all governmental and non-governmental organizations.

 

 

 

Art. 4. Activities

The organization shall perform its activities according to an annual program prepared by the secretariat in coordination with the General Secretary (who acts as the chairperson) of the organization. The functions of REDO shall be as follows:

  1. Providing the scientific experience required for the practical application, in addition to the policies and consultancies to all issues related to the renewable energy.

 

  1. Supporting any country for making use of the effective energy and transferring knowledge and technology through the following activities:

 

 

  1. Analyzing the recent practices assigned with the renewable energy, including all issues related to the policies of performing best practices, the available technology and the

integrated systems, in addition to monitoring and organizing standards of success and failure, without imposing specific commitments to the members’ programs.

 

  1. Exchanging ideas and experience with the other governmental and non-governmental organizations with the same field and ensuring the effective interaction with these organizations.

 

  1. Assisting members to outline policies in the field of the renewable energy, taking into consideration the background and qualifications of each single member.

 

  1. Participating in the international discussions on the strategies of the renewable energy and the main conditions of these strategies.

 

  1. Using the best possible methods in transferring knowledge and technologies in this field and developing the local ones.

 

  1. Making promotions for building skills, including training courses for the members of the organization.

 

  1. Participating in all forums and activities related to the renewable energy for increasing the awareness level of the society to the importance of renewable energy.

 

  1. Providing necessary advice for any other organization about the ways of funding the renewable energy and supporting the involved mechanisms.

 

  1. Encouraging and supporting scientific researches, including social and economic researches and the institutes responsible for carrying out these researches.

 

  1. Providing information about developing the national and international technical standards and the application of these standards related to the renewable energy, according to a full understanding of the attended forums.

 

  1. The organization shall also distribute information and increase public awareness about the benefits expected from relaying on the renewable energy on a wider scale.

Art. 5. The Performance of REDO’s Activities

Regarding the performance of its activities, the organization shall:

1. Perform the activities in the framework of the UN principles which focus on promoting peace and cooperation factors.

  1. Coordinate with other institutions and organizations and build beneficial mutual relations to avoid the duplication of work, as well as making the best use of resources and activities provided by governments, organizations and agencies interested in renewable energy.

 

  1. Submit an annual report on its activities and distribute it to its members.

 

  1. Hold regular meetings to discuss its policy and the latest updates with the members.

 

  1. Inform members with the latest cooperation with other international organizations working in this field.

 

 

Art. 6. Members

  1. Membership is open to any natural or legal individual who is able to work within the objectives and principles of the organization statute and who is willing to be useful for the organization and to help in carrying out the programs of REDO.

 

  1. Any membership applications should be approved by the General Secretary of the organization.

 

  1. The applications to become a member maybe denied without explanation.

 

 

 

Art. 7. Termination of Member Status

  1. Members may resign from REDO by giving three months written notice to the General Secretary.

  1. Members’ status is terminated automatically upon death of the member or by the loss of legal personality for the legal members, or upon the dissolution of REDO.

 

 

 

Art. 8. Rights and duties of members

  1. Each member has the right to vote at a Meeting of Members and has one vote.

 

  1. Each member has the right for election to the Board of Directors at the Meeting of Members.

 

 

  1. Each member has the right to request and receive a copy of REDO Statute from the General Secretary.

 

 

  1. Each member has the right to request a Meeting of Members by at least a tenth of REDO Members, and then the Board of Directors shall call for such a meeting.

 

 

  1. The members have to be informed by the current activities of REDO and the latest financial status.

 

  1. The Board of Directors shall provide members with the audited accounts of REDO. If the accounts are presented at the Meeting of Members, the auditor shall be present.
  2. Members shall support the interests of REDO and stand by its Statute.

 

 

 

 

Art. 9. Organs of REDO

The organs of REDO shall be:

  1. The Meeting of Members
  2. The Board of Directors
  3. The General Secretary

Art. 10. The Meeting of Members

  1. The Meeting of Members is the assembly of all members; and it shall be set up by the Board of Directors and held at least once every year.

 

  1. An extraordinary Meeting of Members shall be held by any one of the following:

 

  1. The meeting of Members
  2. The Board of Directors
  3. The Board of Directors upon a written request form signed by the General Secretary.

 

  1. All members shall be invited to attend a Meeting of Members. The members shall be notified by a written notice, at least two weeks before the meeting, including the agenda.

 

  1. All members shall participate in Meeting of Members. By a prior written notice to the General Secretary, the member may appoint a substitute to attend and vote on his/her behalf.

 

  1. The decisions are taken by simple majority of valid votes of Members and substitutes present. If the votes are evenly divided, the General Secretary shall have the casting vote. Decisions related to the amendments of REDO Statutes require a vote of two-thirds majority.

 

  1. 6. The Meeting of Members is presided by the General Secretary If he/she is unavailable, the long-lasting attending member of the Board of Directors shall preside.

 

 

Art. 11. Functions of the Meeting of Members

 

  1. The functions of the Meeting of Members are:

 

  1. Setting up the agenda of the Meeting of Members.

  1. Arrangement of the final accounts and presenting them along with the annual report and auditors’ report.

 

  1. Approval of final accounts.

 

  1. Preparation of activities programs for the next working period.

 

  1. Carrying out the budget of REDO.

 

  1. Appointment of members of the Board of Directors.

 

  1. Deciding the date and place of the next Meeting of Members.

 

  1. Approving the amendments of this statute and dissolution of REDO.

 

  1. Planning for the financial rules for REDO.

 

  1. Any other issues prepared by the Board of Directors.

 

 

  1. The Meeting of Members may be resulted in deciding to establish subsidiaries bodies, including technical working groups and regional secretaries, if the Board of Directors believes that this is necessary for the performance of REDO’s functions.

 

 

Art. 12. Board of Directors

  1. The Board of Directors shall consist of the General Secretary along with other consultants representing different specializations such as science, law, accounting, business administration, translation, media and others.

 

  1. The General Secretary has the right to appoint and delegate a deputy who represents him/her in all his/her duties granted by the organization.

 

  1. The Board of Directors meets at least once a year. All members of the Board of Directors shall be invited to meetings of the Board of Directors.

 

  1. Each member of the Board of Directors has one vote.

  1. The Board of Directors has a quorum if all members were invited and at least half of them are present.

 

 

 

  1. The General Secretary presides over the meeting; if the General Secretary is unable to attend to his/her duties, the deputy shall preside over the meeting.

 

  1. The members of the Board of Directors may resign at any time by a written notice through the General Secretary, or in case of resignation of the whole Board of Directors to the Meeting of Members.

 

 

 

Art. 13. Functions of the Board of Directors

 

The Board of Directors is responsible for carrying out the business of REDO in alignment with these statutes. The functions include:

  1. Developing and supervising the key strategies of REDO, including objectives, timeframes and funding.

 

  1. Preparing the financial rules of REDO to be approved by the Meeting of Members.

 

  1. Establishing an annual approximate, report, accounts and balance of accounts.

 

  1. Establishing an accounting system for REDO.

 

  1. Preparing and calling for Meeting of Members.

 

  1. Informing members about REDO’s activities and the financial status.

 

  1. Running the assets of REDO’s organs.

 

  1. Considering and reviewing the applications of individuals who want to become members.

 

  1. Receiving instructions from the General Secretary.

Art. 14. Special duties for members of the Board of Directors

  1. The General Secretary manages all issues related to REDO.

 

  1. The Board of Directors is the representative of REDO. The legal documents of REDO shall not be valid without the signature of the General Secretary who represents the Chairperson of the organization.

 

  1. The legal transactions among members of the Board of Directors need the approval of the General Secretary.

 

 

 

 

Art. 15. General Secretary

  1. The General Secretary of REDO is located in Kuwait.

 

  1. The General Secretary is appointed by the mother organization of REDO.

 

  1. The functions of the General Secretary are:

 

  1. Facilitating and managing communication among the members.
  2. Acting as a focal point for the information shared by the members.
  3. Organizing and reporting the meetings of the Board of Directors and the Meeting of the Members.
  4. Cooperating with the members to develop and raise the funds of REDO.
  5. Acting as a clearing-house of the initiatives and projects associated with renewable energy and energy efficiency.
  6. Receiving and coordinating funding bids and proposals with the interested donors and investors.
  7. Implementing the decisions of the Board of Directors.

 

Art. 16. The Financial Resources

As for the financial resources of the organization they are limited to:

  1. Voluntary contributions.
  2. Members self efforts
  3. The country corporations support
  4. Other possible sources

 

 

 

Art. 17. Auditors

  1. The Board of Directors shall elect one independent auditor for a period.

 

  1. The auditor shall audit the accounts of REDO according to all appropriate accounting standards and with regard to the terms of this Statute and the financial rules to be prepared by the Board of Directors and adopted by the Meeting of Members.

 

  1. The Board of Directors and the General Secretary shall provide the auditor with all necessary documentation and information. The auditor shall report to the Meeting of Members.

 

 

 

 

Art. 18. Settlement of Disputes

 

–         Any disputes among members shall be settled by the legal department of the organization, then the disputes shall be directed to the Arbitration Committee related to the organization headquarter.

 

 

Art. 19. Dissolution of REDO

  1. The Meeting of Members may vote to dissolve REDO by a vote of two-thirds majority.

 

  1. Following such vote, the Meeting of Members is required to draw up a plan for dissolution. It shall nominate a trustee and decide how any assets should be distributed

following settlement of liabilities. Remaining assets should be passed to a non-profit organization that follows similar goals, or some other suitable charitable organization.
